Privacy Policy

How Manicule, Inc. collects, uses, shares, and protects information when you use the Manicule website and services.

PRIVACY POLICY

Manicule, Inc. (the "Company", "we", "us", and "our") is committed to maintaining robust privacy protections for its users. This Privacy Policy is designed to help you understand how we collect, use, and safeguard the information you provide to us and to assist you in making informed decisions when using our Service.

For purposes of this Privacy Policy, "Site" refers to the Company's website, which can be accessed at manicule.dev; "Service" refers to the Site and the applications the Company operates for its users, including the online acceptance flow and the client dashboard; and "you" refers to you, as a user of the Site or the Service. By accessing the Site or the Service, you accept this Privacy Policy and the Website Terms of Service at https://manicule.dev/terms-of-service, and you consent to our collection, storage, use, and disclosure of your personal information as described below.

This Privacy Policy covers information the Company collects for its own purposes. It does not cover information the Company accesses or processes on a customer's behalf in performing professional services — such as Customer Materials and the contents of Customer Data Sources — which the Company handles as the customer's service provider under that customer's Agreement (see Section 10.5 of the Standard Customer Terms of Service posted at https://manicule.dev/customer-terms). If your personal information is in data a Manicule customer has made available to us, the customer's own privacy policy governs, and requests about that information should go to the customer.

Information We Collect

We collect both "Non-Personal Information" and "Personal Information." Non-Personal Information includes anonymous usage data, general demographic information, referring and exit pages and URLs, platform types, submitted preferences, preferences inferred from submitted data, and click counts. Personal Information falls into the following categories: identifiers and contact information (such as your name, email address, and username); professional and business information (such as your title and the legal-entity details you provide); account credentials; the contents of communications you send us; and internet or other electronic activity information (such as the browsing and usage data described below).

To activate the Service, you generally do not need to submit any personal information other than your email address. We may still track browser- and application-provided information such as your referring URL, browser type, device, date and time of access, and similar data that does not by itself personally identify you.

We track this information using cookies, or small text files that include an anonymous unique identifier. Cookies are sent to your browser from our servers and stored on your device. The Company may use both persistent and session cookies. Persistent cookies remain on your computer until deleted, while session cookies expire when you close your browser.

Like most online services, we do not currently respond to "Do Not Track" browser signals. Our analytics providers collect usage information on our behalf when you use the Site and the Service; we do not permit third parties to collect personal information about your online activities over time and across unaffiliated websites for their own purposes.

To become a subscriber to the Service, you may need to create a personal profile. During registration you may provide your email address, choose a username, and create a password. By registering, you authorize us to collect, store, and use your email address in accordance with this Privacy Policy.

If you accept a Statement of Work or other agreement on behalf of a Manicule customer through our online acceptance flow, we collect your name, your email address, and the legal-entity details you provide, and we retain them as part of the Acceptance Record for that agreement.

The Site and the Service are not directed to anyone under the age of 13. We do not knowingly collect or solicit information from anyone under 13 or allow anyone under 13 to sign up for the Service. If we learn that we have gathered personal information from anyone under 13 without parental or guardian consent, we will delete that information as soon as possible.

How We Use and Share Information

We do not sell personal information, and we do not share it for cross-context behavioral advertising, as "sell" and "share" are defined in the California Consumer Privacy Act. Except as otherwise stated in this Privacy Policy, we also do not trade, rent, or disclose your personal information for marketing purposes without your consent. The categories of third parties with whom we disclose personal information are described in this section: our service providers, our professional advisors, government authorities and other parties where the law requires it, and a successor to our business.

We do share personal information with service providers performing services for the Company, such as the infrastructure used for hosting, email communications, payment processing, and website analytics. Those providers may access personal information solely to perform those services on our behalf and only under our direction and in accordance with this Privacy Policy.

In general, the personal information you provide is used to help us communicate with you. We may contact users in response to questions, solicit feedback, provide technical support, and inform users about promotional offers.

We may also share personal information when we have a good-faith belief that access, use, preservation, or disclosure is reasonably necessary to satisfy a legal process or enforceable governmental request; enforce applicable terms of service, including investigating potential violations; address fraud, security, or technical concerns; or protect against harm to the rights, property, or safety of our users or the public, as required or permitted by law.

We use non-personal information to improve the Service, customize the user experience, track trends, and analyze use patterns. We may disclose aggregated or non-personal information to partners, advertisers, and other third parties at our discretion. If we undergo a merger, acquisition, or sale of all or part of our assets, your personal information may be among the assets transferred.

How We Protect Information

We implement security measures designed to protect your information from unauthorized access. Your account is protected by your password, and we urge you not to disclose it and to log out after each session. We also use technological safeguards such as encryption, firewalls, and secure socket layer technology. No system is guaranteed to be perfectly secure, and by using the Service you acknowledge and accept these risks.

How Long We Keep Information

We retain personal information only as long as needed for the purposes described in this Privacy Policy: account information for the life of the account; Acceptance Records for the life of the agreement they evidence and any applicable limitation periods, because they document contract formation; and other information for as long as we have an ongoing relationship with you or as needed for legal, accounting, security, or dispute-resolution purposes. When personal information is no longer needed, we delete or de-identify it.

Your Rights Regarding the Use of Your Personal Information

You may prevent us from contacting you for marketing purposes at any time. When we send promotional communications, you can opt out of future promotional emails by following the unsubscribe instructions included in those messages.

You may review, update, or correct the personal information in your account through your account settings or by contacting us (see "Contact Us" below), and you may request that we delete it. If you request deletion, we may retain information as described in "How Long We Keep Information," including where retention is required by law.

California Civil Code Section 1798.83 (the "Shine the Light" law) permits California residents to request certain information about a business's disclosure of personal information to third parties for those parties' direct marketing purposes. We do not disclose personal information to third parties for their own direct marketing purposes.

Users in the European Economic Area and United Kingdom

If you are in the European Economic Area, the United Kingdom, or Switzerland, we process your personal information on the following legal bases: performance of a contract (to provide the Service, operate your account, and administer agreements accepted through our acceptance flow); our legitimate interests (to secure, maintain, and improve the Site and the Service, and to communicate with business contacts about our services); your consent, where the law requires it (such as for certain marketing communications or cookies), which you may withdraw at any time; and compliance with our legal obligations.

You have the right to request access to, rectification or erasure of, or restriction of the processing of your personal information; to object to processing based on legitimate interests; to data portability; and to lodge a complaint with your local supervisory authority. To exercise these rights, contact us as described in "Contact Us" below, and we will respond within the time required by applicable law. We process personal information in the United States; where the law requires a transfer mechanism for personal information from the EEA, UK, or Switzerland, we rely on the European Commission's Standard Contractual Clauses (and their UK and Swiss equivalents).

Links to Other Websites

As part of the Service, we may provide links to, or compatibility with, other websites or applications. We are not responsible for the privacy practices employed by those websites or the information or content they contain. If you access another website or application through our Site or Service, that third party's privacy policy will govern your use of that site or application.

Changes to Our Privacy Policy

The Company reserves the right to change this Privacy Policy and its Website Terms of Service at any time. We will notify you of significant changes by sending a notice to the primary email address specified in your account or by placing a prominent notice on the Site. Significant changes will go into effect 30 days after such notice. Non-material changes or clarifications will take effect immediately.
